These Terms and Conditions (“Terms”) govern access to and use of the StrategyFactory.ai website, software, and related services (the “Service”) provided by StrategyFactory.ai (“StrategyFactory.ai”, “we”, “us”, “our”).

By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

StrategyFactory.ai provides software, tools, interfaces, automation workflows, analytics, alerts, educational and research features, and integrations that may help users discover, deploy, monitor, or interact with trading strategies, bots, and related systems.

The Service is provided for informational, educational, research, and software automation purposes only. StrategyFactory.ai is not a discretionary investment manager, broker, dealer, exchange, custodian, or adviser, and does not provide personalised financial, legal, tax, or investment advice.

Nothing on the platform is an offer or solicitation to buy or sell any financial instrument or crypto asset.

No strategy, bot, signal, model, ranking, leaderboard entry, or workflow on the platform is guaranteed to be profitable, suitable for you, or free from loss. Any strategy may lose money, stop working, degrade, or behave differently in live trading than in backtests, simulations, or historical records.

Past performance is not indicative of future results. Any backtests, simulations, metrics, leaderboards, or historical performance data may be hypothetical or incomplete, may not reflect real market conditions, fees, slippage, latency, liquidity, or execution quality, and are not a guarantee of future performance.

The Service may include AI-assisted features. AI outputs may be wrong, incomplete, outdated, or unsuitable. You must independently verify anything material to your decisions.

You must be legally able to enter a binding contract in your jurisdiction.

The Service is not offered to residents of the European Economic Area (EEA) or the European Union (EU). We may refuse registration, suspend accounts, or block access for users located in those regions or where required for compliance, risk, or legal reasons. We may use technical measures to restrict access from prohibited regions.

You are responsible for ensuring that your use of crypto trading, derivatives (if applicable), algorithmic trading, and automation is lawful where you live.

You assume all financial risk arising from your use of the Service. Trading losses, missed opportunities, and adverse outcomes are yours alone. StrategyFactory.ai does not control markets, exchanges, liquidity, fees, or your decisions.

You remain solely responsible for your trading decisions, capital, leverage, position sizing, risk controls, exchange account settings, API key permissions, and any automation you enable.

Automated trading and bots may place or route orders without further manual confirmation depending on your configuration. You understand this can produce rapid and total losses.

You are responsible for stopping API access on your side when required. If you do not, automation you previously enabled may continue operating until you disable it or until we suspend access.

Trading involves substantial risk, including the possibility of total loss of capital. Live trading involves slippage, fees, outages, halts, delistings, liquidation, counterparty failure, regulatory change, and other risks.

To the fullest extent permitted by applicable law, StrategyFactory.ai is not responsible for any losses, lost profits, or reduction in the value of your accounts or positions resulting from your use of strategies, bots, alerts, signals, automation, analytics, or any other feature of the Service—whether or not such items were provided, ranked, recommended, or featured on the platform—or resulting from market conditions, volatility, user error, misconfiguration, third-party failures, or any other cause.

If you connect exchanges or third-party platforms, you accept their terms and risks. We are not responsible for exchange hacks, insolvency, API errors, account freezes, withdrawal failures, or other third-party failures.

StrategyFactory.ai is not affiliated with, endorsed by, or sponsored by TradingView. TradingView is a trademark of its respective owner. Any TradingView-related workflows are subject to TradingView’s terms and your own compliance with them.

Paid access may be sold through Whop and/or Stripe (and related checkout experiences). Fees are typically billed in USD on a monthly auto-renewing basis unless otherwise shown at checkout.

Trials may range from 7 to 30 days depending on the offer presented at purchase. Trial terms, conversion, and renewal timing are shown at checkout and in the relevant provider’s receipt/portal.

Fees are non-refundable except where required by applicable law. Cancelling your subscription stops future renewals according to the rules shown by Whop/Stripe for your purchase.

If payment fails or your subscription lapses, we may suspend your access to the Service. You must stop API access and automation on your side as needed. For a limited period of up to 30 days, previously configured automation may continue to operate until disabled or until access is fully suspended—do not rely on this as a safety mechanism; you should disable keys and bots promptly.

StrategyFactory.ai may receive commissions, sponsorship payments, or other benefits from partners (including exchanges and related platforms). Partner links and integrations may generate compensation for us. You should assume such relationships may exist where partner links or integrations are presented.

The Service, including software, branding, documentation, dashboards, strategy libraries, and related materials, is owned by StrategyFactory.ai or its licensors. Subject to these Terms and your entitlements, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service.

You must not copy, scrape, resell, redistribute, reverse engineer, circumvent access controls, or use the Service to build a competing product.

You must not misuse the Service, interfere with security, attempt unauthorised access, abuse exchanges, engage in market manipulation or unlawful conduct, or use the Service in violation of law. We may investigate and cooperate with exchanges and authorities where appropriate.

YOU USE THE SERVICE AND ANY STRATEGIES, BOTS, DATA, ALERTS, SIGNALS, RESEARCH, OR AI OUTPUTS ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, ACCURACY, COMPLETENESS, TIMELINESS, OR THAT ANY STRATEGY, BOT, ALERT, RESEARCH OUTPUT, OR FEATURE WILL BE PROFITABLE, PRESERVE CAPITAL, OR BE SUITABLE FOR YOUR OBJECTIVES. NO OUTCOME IS GUARANTEED.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, StrategyFactory.ai AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY TRADING LOSSES, LOSS OF CAPITAL, MARGIN CALLS, LIQUIDATIONS, DRAWDOWNS, UNDERPERFORMANCE, OR ANY OTHER FINANCIAL LOSS ARISING FROM OR RELATING TO YOUR USE OF STRATEGIES, BOTS, AUTOMATION, OR MARKETS—INCLUDING WHERE A STRATEGY WAS SHOWN, RANKED, COPIED, OR RECOMMENDED ON THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, StrategyFactory.ai AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO StrategyFactory.ai FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100) IF NO FEES WERE PAID.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.

You will indemnify and hold harmless StrategyFactory.ai from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your trading activity, your integrations, or your breach of these Terms, except to the extent caused by our wilful misconduct to the extent prohibited by law.

We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, pose a security or fraud risk, failed to pay fees, or if required for legal or operational reasons. Upon termination, your licence ends. Provisions that should survive will survive.

We may modify the Service and these Terms. We will post updates on this page and revise the “Last updated” date. Continued use after changes may constitute acceptance, except where applicable law requires a different process.

We are not liable for failures or delays due to events beyond our reasonable control, including outages of exchanges, internet failures, cyber incidents affecting third parties, or governmental actions.

These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to conflict-of-law rules that would require another jurisdiction’s laws.

You agree that the courts of Dubai, United Arab Emirates, have exclusive jurisdiction, subject to any non-waivable rights you may have under mandatory consumer protection laws in your home jurisdiction.

You are responsible for any taxes arising from your use of the Service or trading activity, as applicable.
